[VOTE] Authorize Florian to accept new ToS for GLS Bank

similar as for Volksbank pur/Volksbank Pforzheim I hereby call for the following VOTE:

Authorize Florian to accept the new terms of service for GLS Bank on behalf of TDF

The vote runs 72h from now.

The bank writes (DeepL) translated that "The background to the changes are new legal requirements of the European Union, in particular for the processing of real-time transfers. We are also adapting other payment transaction services. You can find clearly summarised information at below and attached or in detail in our price and service directory at gls.de/agb."

And also:

"Special conditions for transfer transactions

• The regulations for standard transfers in euros and for real-time transfers in euros within the European Economic Area (EEA) are being adjusted and standardised.

• Due to new legal requirements, a verification of payee (VOP) must be carried out before transfers are authorised (released). This is to improve your security.

Special conditions for the girocard (debit card)

• We are adjusting the regulations for the GLS girocard (debit card) due to new possible uses and current developments for further digitalisation.

Special conditions for GLS online banking

• We are expanding the types of orders in GLS online banking – in particular for the use of payment initiation and account information services.

Price and service list

• The changes here mainly relate to adjustments in transfer transactions. Due to case law, we are specifying our offers for replacement cards in card-based payment transactions by adding typical examples of fees.

Additional information on recipient verification for remote data transmission procedures:

Due to new legal requirements, recipient verification (‘Verification of Payee’, VOP) will be required before transfers are approved in future. This measure increases the security of electronic payments and applies to consumers in general. The ‘Terms and Conditions for Remote Data Transmission (DFÜ)’ have been amended accordingly:

• Number 3 (4): In the case of collective transfers, you decide whether a recipient verification should be carried out. In the case of individual transfers, the bank may carry out a verification or reject the order. No verification is carried out if the order is submitted with an accompanying note.

• Number 3 (9): Once the verification has been carried out, the bank informs you of the result and requests approval. You decide whether the file is executed.

• Number 8 (5): Real-time transfers from collective orders are executed individually.

• Number 10 (1) refers to the new regulations for the release of verified orders.

The Board of Directors at the time of voting consists of 7 seat holders (not including deputies). In order to be quorate, the vote needs to have 1/2 or more of the Board of Directors members, which gives 4.

A total of 6 Board of Directors members have participated in the vote.

Hi all,

there were again only six out of seven directors participating in the vote. I think the community and the TDF members could expect a detailed explanation why a director was again and again not able to take place in a vote. He should explain to the community and the members, what is his role on the board. The board is the administration body of TDF.

Hi @andreasma ,

I think that explanation was given, and we should accept that. It has happened in all boards, past and current, that sometimes people were less available due to private or job-related reasons. This, to me, is fine as long as the board remains quorate.

But incidentally, since you keep finding time pointing this out: I noticed that the MC did not publish any minutes, all the way back to December 2024. Is that something you could look into please?

as usual you try to distract from the original subject of the thread.

But sorry I don’t see an explanation is given from the board member why he is not able to participate in a vote by email (or post in a forum) repeatedly (you could phrase it also differently: always) which runs for 72 hours.
