[DECISION] Contracts for TDF/LO merchandise storage space and insurance

the following decision, which has been taken in private today (because of the amount of documents which might not be made easily public, in particular not in non-official English translation), is now made public in accordance with our statutes.

Most of the TDF merchandise (T-shirts, hoodies, rucksacks, books, flyers
etc.) is stored in my own cellar, and I’m running out of space. I talked
with Florian about renting a small room in a storage space nearby, and
compared a few options to find the best value. So we’d like to sign a
contract with a place here in south Munich for €95 per month (getting
three months for free, if we pay a year in advance).

To do this we also need to update our insurance. Both contracts (in
English and German) are attached. So I call for the following votes:

  1. Accept the terms for the storage space and the insurance

  2. Approve me (Mike) to sign the documents on behalf of TDF

The vote runs for 72 hours from now.

The Board of Directors at the time of voting consists of 7 seat holders (not including deputies). In order to be quorate, the vote needs to have 1/2 or more of the Board of Directors members, which gives 4.

A total of 5 Board of Directors members have participated in the vote.

The vote is quorate.

A quorum could be reached with a simple majority of 3 votes.

Result of vote:

5 approvals: Mike, Paolo, Sophie, Eliane, Osvaldo
0 abstain
0 disapprovals

Decision: The proposal has been accepted.

I wonder what are the reason that only five members of the board participate in this vote (as in many other board decisions during this board term).

Why do you think you have the right to demand explanations from only some members of the BoD? Are they doing something illegal?.
