Community Bylaws vote

I notice this is a topic:

Previously - in the board’s town-hall meeting (setup to try to explain the Board’s deeply controversial voiding of the Membership Committee election results) on 2024-11-29, there was a question on this topic. There were fears that the rump board would try to change our governance without any real scrutiny, or mandate; my notes on this from then:

Michael: what group of people are working on this new community bylaws draft Sophie - is it just you ?
Sophi: for the moment, I’m not working on it, too much on my plate, but when I’ll finish to write the basis, and with the ok from the board members, that will be made public for discussions

I ask the board to stand by that commitment that Sophie made to transparency. So far I have not seen a draft of this, and I expect most other trustees are in the dark too. I call on the board to ensure that these are not rushed through without scrutiny or discussion, on the edge of a board election, in a partisan fashion, by a non-representative board (that has lost several of its most popular members).

We have not had community bylaws for ~15 years. After this time I believe using the statutes’ bootstrapping provision for a first adoption of bylaws without a Trustee vote would be deeply inappropriate - and I call on the board and MC to do the right thing - and re-assure the community that these first bylaws will get adequate Trustee discussion, and are put to a Trustee vote. Perhaps that could be done in parallel with the up-coming board election to save bother for members.

Thanks,

Michael.

Are you by any chance asking to have the Community Bylaws presented during the public part of the board meeting?

Checking the agenda I believe we have anticipated your demand.

In the meantime feel free to provide your feedback on the Code of Ethics and Fiduciary Duties documents.

Hi @PaoloVecchi

So there will be a draft made available, with enough time for community members to review & ask meaningful questions? From the agenda, it is otherwise not clear what the board intends to discuss there, with the community.

Best, Thorsten

Hi @thb,
